Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of Hellobreeder (the “Platform,” “Site,” “Services”), including any websites, mobile apps, features, content, tools, listings, directories, messaging, events, groups, vendor stores, marketplace items, sponsored placements, and related services operated by [Legal Business Name] (“Hellobreeder,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Platform Purpose

Hellobreeder is a social platform designed to connect animal lovers, breeders, rescues, transporters, pet service providers, and animal seekers. We provide community features, discovery tools, profile/business pages, directories, listings (where enabled), and optional paid upgrades, including verification and sponsored visibility.

We do not guarantee outcomes and do not control or guarantee the quality, legality, safety, or accuracy of user content, listings, services, animals, or transactions.

2. Eligibility

You must be at least 18 years old to create an account or use the Platform. By using the Platform, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. Accounts and Security

You agree to:

Provide accurate and current information
Maintain and promptly update your information
Keep login credentials secure
Notify us immediately of suspected unauthorized access

You are responsible for activity conducted under your account.

4. Roles, Profiles, and Business Pages

The Platform may provide role-based profiles (for example: community member, breeder, rescue, transporter, pet service provider, vendor). Your selected role may affect platform visibility and available features.

You agree that your profile, pages, listings, and communications must be truthful and not misleading.

5. Verification and Badges

Hellobreeder may offer optional verification programs and badges. Verification indicates that certain information or documentation was reviewed at a point in time.

Verification does not equal endorsement, certification, guarantee, or warranty of any person, animal, listing, service, outcome, or transaction. Users must conduct their own due diligence.

You may not state or imply that Hellobreeder “guarantees,” “certifies,” or “endorses” you or your animals/services.

6. Listings, Content, and Community Posts

Hellobreeder may allow users to post:

Animal listings (where enabled)
Service listings
Marketplace items
Posts, comments, media, events, and group content
Announcements and other community content

You are solely responsible for the accuracy and legality of your content, including claims, pricing, availability, location, licenses, permits, and compliance with applicable laws.

We may remove or restrict content, listings, accounts, or access at our discretion, including for safety, quality control, policy compliance, or suspected violations.

7. Transactions and User-to-User Agreements (Off-Platform by Default)

Unless the Platform explicitly states otherwise, Hellobreeder does not process member-to-member payments for animals, services, or private arrangements.

All agreements, deposits, purchases, contracts, refunds, transportation arrangements, and disputes occur directly between users. Hellobreeder is not a broker, agent, escrow service, or payment intermediary for off-platform transactions.

You agree you are responsible for:

Verifying identity and legitimacy of users you interact with
Using safe payment methods and written agreements
Conducting independent due diligence before committing to any purchase, deposit, service, or transport arrangement

If Hellobreeder enables on-platform checkout or marketplace payment features, additional terms may apply and will be incorporated into these Terms.

ADD-ON 1: Refund Policy (Memberships and Sponsored Placements)

8. Membership Billing, Renewals, and Cancellations

If you purchase a paid membership, you authorize Hellobreeder (or its payment processors) to charge your payment method for recurring fees according to the plan you select.

Cancellation: You may cancel at any time through your account settings (if available) or by contacting support at [Support Email]. Unless otherwise stated at purchase, cancellation stops future renewals but does not retroactively refund fees already paid.

Access After Cancellation: Unless stated otherwise, paid features remain active until the end of the current billing period.

9. Membership Refunds

Unless required by law or expressly stated in writing:

Membership fees are non-refundable, including partially used billing periods.
We do not provide prorated refunds for unused time after cancellation.
If a membership was purchased by mistake, you may contact support within 48 hours of purchase. Any refund decision is at Hellobreeder’s discretion and may be denied once access has been used or benefits have been consumed.

10. Sponsored Placements and Advertising Refunds

Sponsored placements (including stream ads, featured placements, promoted listings, directory spots, and similar paid visibility products) are digital marketing services.

Unless required by law:

Sponsored placement fees are non-refundable once the placement begins, is approved, or is scheduled to run.
If a sponsored placement is rejected for policy reasons before running, Hellobreeder may, at its discretion, issue a refund or store credit, minus processing fees (if applicable).
If an ad is removed due to advertiser violation, no refund will be issued.

ADD-ON 2: Vendor Marketplace Terms (If You Enable Storefront Selling)

11. Vendor Stores and Marketplace Sales

If Hellobreeder enables vendor stores and on-platform selling, vendors (“Sellers”) may list and sell physical or digital products through a storefront.

Sellers agree to:

Accurately describe products, pricing, shipping, turnaround times, and policies
Fulfill orders promptly and professionally
Handle customer support related to their products
Comply with all applicable tax, consumer, and e-commerce laws

12. Payments, Payouts, and Fees (Marketplace)

If on-platform sales are enabled:

Payments may be processed by third-party processors (e.g., Stripe, PayPal) and subject to their terms.
Hellobreeder may charge marketplace fees (commissions, listing fees, subscription fees, or processing surcharges) as disclosed at the time of sale.
Seller payouts may be subject to a holding period, minimum payout threshold, dispute/chargeback holds, or verification requirements.

13. Shipping, Returns, and Customer Disputes (Marketplace)

Each Seller is responsible for:

Shipping and delivery obligations
Return/refund policies that comply with law
Handling customer complaints

Hellobreeder may provide dispute tools but does not guarantee resolution outcomes. If a payment processor reverses funds for chargebacks or disputes, the Seller is responsible for those amounts and related fees.

14. Prohibited Marketplace Products

Sellers may not list:

Illegal items
Counterfeit goods
Items that violate third-party intellectual property rights
Prescription medications or controlled substances
Weapons, explosives, or related components
Any product category Hellobreeder designates as prohibited

Hellobreeder may remove products and restrict accounts at any time.

ADD-ON 3: Animal Welfare and Prohibited Activity

15. Animal Welfare Standard and Prohibited Listings

Hellobreeder aims to support responsible animal ownership and ethical participation. Users may not post or promote:

Animal fighting, abuse, neglect, cruelty, or exploitation
Illegal trade, trafficking, or protected species violations
Transactions that violate local, state, federal, or international laws
Misrepresentation of health testing, age, pedigree, registration, or medical status
Stolen animals or suspicious rehoming activity

Hellobreeder reserves the right to remove content and suspend/terminate accounts for animal welfare concerns or policy violations.

16. Prohibited Content Involving Minors

You may not facilitate transactions or communications that involve minors without clear lawful adult supervision and compliance. You may not solicit personal information from minors.

ADD-ON 4: Chargebacks and Sponsored Ad Performance Disclaimer

17. Chargebacks and Payment Disputes

If you initiate a chargeback or payment dispute:

Hellobreeder may suspend your account and/or remove your sponsored placements or paid features while the dispute is investigated.
If the dispute is resolved in Hellobreeder’s favor, you agree to reimburse Hellobreeder for any fees, penalties, or administrative costs incurred.
If repeated disputes occur, your account may be permanently restricted.

18. Advertising Performance

Hellobreeder does not guarantee:

Impressions, reach, clicks, inquiries, leads, sales, or outcomes
Exact placement frequency, placement position, or algorithmic delivery
That any sponsored content will outperform organic content

Sponsored placements are visibility products, not outcome guarantees.

ADD-ON 5: Messaging, Anti-Spam, and Enforcement

19. Messaging Rules

You may not use messaging, comments, or posts to:

Send spam or unsolicited promotions
Send repetitive bulk messages
Harvest personal data or contact information
Circumvent platform rules or restrictions

20. Anti-Spam Enforcement

Hellobreeder may:

Rate-limit messaging and posting
Restrict links for new accounts
Require verification steps
Remove content and suspend accounts for spam-like behavior

We may also restrict accounts that generate excessive reports or complaints.

21. Community Standards and Acceptable Use

You agree not to:

Harass, threaten, or defame others
Post hateful, discriminatory, or violent content
Impersonate others or misrepresent affiliation
Post deceptive listings, false claims, or misleading pricing/availability
Attempt to access systems, accounts, or data without authorization
Distribute malware or harmful code
Infringe intellectual property rights

We reserve the right to remove content and suspend/terminate accounts at our discretion.

22. User Content License

You retain ownership of your content. By posting content, you grant Hellobreeder a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and use your content to operate, promote, and improve the Platform, including marketing previews.

You represent you have the rights to post the content and it does not violate laws or third-party rights.

23. Intellectual Property

Hellobreeder’s branding, logos, design, software, and platform features are owned by Hellobreeder or its licensors. You may not copy, reverse engineer, distribute, or create derivative works without permission.

24. Copyright Complaints (DMCA)

If you believe content infringes your copyright, contact DMCA with:

Identification of the copyrighted work
The URL/location of the infringing content
Your contact details
A good-faith statement and a statement under penalty of perjury
Your signature

25. Privacy

Use of the Platform is governed by our Privacy Policy

26. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee the Platform will be uninterrupted or error-free.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELLBREEDER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO HELLBREEDER IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions limit these exclusions; you may have additional rights.

28. Indemnification

You agree to indemnify and hold harmless Hellobreeder and its affiliates from claims arising from:

Your content, listings, products, services, or communications
Your transactions or disputes with other users
Your violation of these Terms or applicable law

29. Suspension and Termination

We may suspend or terminate access if you violate these Terms or if we believe your activity risks harm to users or the Platform. Certain sections survive termination.

30. Changes to the Platform and Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance.

31. Governing Law and Venue

These Terms are governed by the laws of TN. Any legal action must be brought in the courts located in Knoxville, TN unless required otherwise by law.
